Air Niugini Limited  is looking for  an appropriately qualified and experienced individual to fill the critical role of Deputy Company Secretary. This role is pivotal in ensuring the company and board of directors comply with all the  relevant regulatory requirements in PNG.

The Legal Services Department is one of several key departments in Air Niugini. It oversights the Legal affairs of the company and works closely with and provides support to the Board of Directors and the Chief Executive Officer

Main Accountabilities

  • Assist the Company Secretary in ensuring compliance with all statutory and regulatory requirements by the company.
  • Maintain and update corporate records, including Minutes of Board Meetings and Resolutions and associated legal documents therein
  • Coordinate and schedule Board and Board Committee meetings, prepare meeting agendas and disseminate relevant papers and documents for Board Meetings, as well as liaise with Chairs of the various Board Committees and provide support as and when required.
  • Assist in the preparation of annual reports, financial statements and related corporate documents under the purview of the ANL Board.
  • Manage the communications between the Board of Directors, executive management and external stakeholders
  • Monitor changes in PNG laws and regulations affecting the company and ensure compliance as required
  • Assist in the organisation of shareholder meetings and therefore related pre and post AGM activities
  • Provide support in the administration of matters to do with Directors’ appointments, functions and remuneration protocols.
  • Any other duties as required by the Board and the Company Secretary.

Qualifications

  • Tertiary Qualification (Bachelor’s Degree in Law & member of PNG Law Society or equivalent would be an advantage
  • Member of PNG Law Society or equivalent (would be an advantage)

 Essential Skills

  • 5 plus years’ experience in a legal support position/role (preferably in the private sector)
  • Very good understanding of PNG’s Companies’ Act
  • Very good knowledge and understanding of PNG’s business laws.
  • Excellent written and verbal communication skills
  • Ability to maintain a high level of accuracy and confidentiality regarding Board of Directors and Senior Management financial and employment provisions.
  • Very good judgment and planning skills
  • Very good interpersonal and team building skills
  • Ability to maintain attention to detail and possess high levels of accuracy in written and oral presentations
  • Very strong organizational and time management skills
